This Premium (Wav) License ("License") is a legal agreement between [DanoeBeatz] ("Licensor") and the Licensee (Client). By purchasing or using the beat, you agree to be bound by the terms and conditions set forth in this License.
Grant of License:
Licensor grants Licensee an exclusive, non-transferable, and worldwide license to use the beat in the form of a high-quality Wav audio file ("Beat") for all uses permitted under this License, subject to the terms and conditions of this License.
Permitted Uses:
a. You may use the Beat for creating musical compositions, songs, or other audio-visual projects for personal, commercial, and promotional purposes.
b. You may distribute, perform, and publicly display the musical compositions created using the Beat on all digital platforms (e.g., streaming services, social media, websites).
c. You may use the Beat for limited commercial purposes, including one (1) monetized platform (e.g., YouTube, SoundCloud) with a maximum of 500,000 combined streams/views.
Prohibited Uses:
a. You may not resell, sublicense, or distribute the Beat (or any part of it) in its original or modified form as a standalone item.
b. You may not use the Beat in a manner that violates any third-party intellectual property rights.
c. You may not claim ownership or authorship of the Beat or any derivative work created using the Beat.
Credit:
While not mandatory, Licensee is encouraged to give appropriate credit to Licensor in all projects and media where the Beat is used. The credit should be provided as follows: "Produced by DanoeBeatz" or "Beat by DanoeBeatz."
Ownership:
Licensor retains all rights, title, and ownership of the Beat, including all copyrights and intellectual property rights not expressly granted under this License.
Termination:
This License shall remain in effect until terminated by either party. Licensor reserves the right to terminate this License at any time if Licensee breaches any terms of this agreement. Upon termination, Licensee must immediately cease all use of the Beat and destroy all copies in their possession.
No Refunds:
All sales of the Beat are final. Licensor does not offer refunds once the Beat has been purchased and delivered to Licensee.
Governing Law:
This License shall be governed by and construed in accordance with the laws of Lagos, Nigeria, without regard to its conflict of laws principles.
Entire Agreement:
This License constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings. By purchasing or using the Beat, Licensee acknowledges that they have read and understood this License and agree to be bound by its terms.
